Hotel101 Global Holdings Corp. (“Hotel101” or “HBNB”) and NASDAQ-listed JVSPAC Acquisition Corp. (NASDAQ: JVSA) have announced a major milestone: the U.S. Securities and Exchange Commission (SEC) has officially declared effective Hotel101’s registration statement on Form F-4, paving the way for their highly anticipated business combination.

This strategic deal, which values Hotel101 at a staggering US$2.3 billion, is now on track to close soon—pending final regulatory approvals, shareholder votes, and other customary conditions. Upon completion, the combined entity will be listed on Nasdaq under the ticker symbol “HBNB.”
Once listed, Hotel101 will become the first Filipino-owned company to trade on Nasdaq, marking a historic moment for Philippine businesses going global.
